- Defined Terms
1.1. The term “Event” means Keiken Expo, currently scheduled to be held on 15 May 2021 (“Event Dates”) at Expo Houten (“Expo Houten”). The Event is owned, produced and managed by Stichting Keiken (“Keiken”). As used hereinafter, the term “Organizer” means, collectively, Stichting Keiken, and each of its respective staff, affiliates, representatives, volunteers, unless the context requires otherwise.
1.2. The term “Contractor” means, collectively the company, any other business entity, or person that applied for sponsorship and/or exhibit space rental and agreed to enter into this contract upon acceptance by Keiken.
2.1. Keiken is not liable for personal accidents on the convention terrain, costs and damage caused to visitors and goods, as the direct or indirect result of actions or negligence of other visitors, dealers or the organization of Expo Houten, during or in relation to the convention.
2.2. Keiken is in no way liable for damage to or the loss of personal possessions. For the loss of possessions, a lost and found area will be marked on the Event map. However, Keiken is in no way liable for these items. If lost items are not picked up during the Event, Keiken will store these items for a period of 6 months. If the items have not been reclaimed after that, they will become the property of Keiken, or they will be dismissed.
2.3. Keiken reserves the right to confiscate products/goods that, according to the Organizer, can form a danger to the owner or bystanders, or are not allowed by law or the house rules of Expo Houten. The confiscated items will be safely stored and can be retrieved by the owner when leaving the convention. If not retrieved, it will be regarded as a lost and found item.
2.4. Keiken can reschedule the event to another date or location or even cancel it in the case of a force majeure. ‘Force majeure’ should be interpreted broadly in this context and can refer to illness and/or cancellation of artist(s) and/or event holders, personnel strikes, fire, hazardous weather circumstances etc.
2.5. Keiken reserves the right to make image and/or sound recordings during the Event, either on their own accord or by third parties. Visitors of the Event may appear on image and/or sound recordings that may be used for publicity for Abunai!. If a Visitor has weighty reasons against publication of these recordings, they can send a written request to Keiken.
2.6. Keiken is not liable for defect goods sold by third party dealers.
- Tickets & Entry
3.1. Every ticket is personal. For inspection, you have to be able to prove your identity with a form of identification.
3.2. If Keiken cancels the Event due to force majeure situation before the Event, the Visitor is entitled to a full refund of the paid ticket price.
3.3 If Keiken cancels the Event due to force majeure during the Event (meaning: after start of the Event), the Visitor is entitled to a refund of not more than a reasonable part of the entrance price stated on the ticket to be determined by Keiken.
3.4. Reselling tickets is allowed if sold for the original retail price or less. When a price higher than the original retail price is asked, Stichting Keiken reserves the right to cancel the ticket, without a right for refunds. When reselling tickets, Stichting Keiken only provides the means to transfer the tickets or parts from one person to the other. Stichting Keiken cannot be deemed responsible for other parts of the transfer process, the proper transfer of physical tickets or the handling of payments between third parties.
- Exhibitors & Sponsors
4.1.The written confirmation by Keiken after receipt of the electronic application will constitute a binding contract between Keiken and the Contractor. Contractors who applied for a sponsorship package will receive a separate contract in PDF format to confirm the agreement.
4.2. After approval of your application, an invoice of 25% of the costs will be sent to you. Your payment confirms your application and reserves you the spot at our event. We will send the invoice of the remaining 75%, approximately two months before the event. It is possible to cancel your application and get a full refund of the paid 25% until 15 January 2021. Contractors who cancel exhibit space after 15 January 2021 will not receive a refund of the 25% paid to the Organizer. Contractors who cancel their exhibit space less than 60 days before the Event will not be refunded.
4.3. If Contractor fails to make a payment required by this contract in a timely manner, Keiken may terminate this contract immediately (and Contractor’s participation in the Event) without further notice and without obligation to refund monies previously paid.
4.4. Keiken reserves the right to restrict or remove any exhibit which the Organizer, in its sole discretion, believes is objectionable or inappropriate. Only Exhibitors with products and/or services relating to Japan, Japanese culture, Japanese business, fitting the respective districts and themes are eligible to exhibit. No adult materials may be displayed or sold without prior written permission of the organizer.
4.5. Exhibit space shall be assigned by Keiken Expo in its sole discretion for the Event and for the Event Date only. Any such assignment does not imply that similar space will be assigned for future events held by Organizer. The Organizer reserves the right to change the floor plan or to move a Contractor to another booth location prior to or during the set-up of the Event if Keiken in its sole discretion determines that to do so is in the best interest of the Event.
4.6. Contractor shall promptly pay for any and all damages to the Organizer, Expo Houten or associated facilities, booth equipment or the property of others caused by Contractor.
4.7. If Keiken cancels the Event due to force majeure situation, Keiken shall refund to each Contractor its exhibit space rental payment previously paid, minus a share of costs and expenses incurred, in full satisfaction of Organizer’s liabilities to Contractor.
4.8. Keiken reserves the right to cancel, rename or relocate the Event or change the dates on which it is held. If Keiken changes the name of the Event, relocates the Event to another event facility within the same city or changes the dates for the Event to dates that are not more than thirty (30) days earlier or thirty (30) days later than the dates on which the Event originally was scheduled to be held, no refund will be due to Contractor; provided however, Keiken shall assign use of such space to Contractor pursuant to the terms of this contract. If Keiken elects to cancel the Event other than for reasons previously described in this paragraph, Keiken shall refund to each Contractor its entire exhibit space rental payment previously paid, in full satisfaction of any and all liabilities on the part of the Organizer to Contractor.
4.9. By Contractor’s participation in the Event, Contractor expressly grants to Keiken a fully paid, perpetual non-exclusive license to use, display and reproduce the name, trade names and product names of Exhibitor in any directory (print, electronic or other media) listing the exhibiting companies at the Event and to use such names in Keiken promotional materials. Contractor agrees that Keiken may also take photographs of booth space, exhibit and personnel during, before or after the open hours of the Event and use such photographs for any Keiken promotional purpose.
4.10. Keiken will be providing to you from time to time additional materials which will specify additional terms and conditions for your participation and/or presence at the Event.
- Program & Entertainment
5.1. Keiken will run the event as closely to the announced timetables as possible, but is not liable for any changes therein or damages occurred to visitors or third parties as the result thereof.
5.2. Keiken is not liable when a maximum capacity for a certain program activity has been reached and no more people can participate in the event, either as an active participant or observer.
